TERMS OF SERVICE — MY OPTIMIZED ROUTE Last updated: April 17, 2026 1. Acceptance of Terms By creating an account and using My Optimized Route ("MOR", "we", "us"), you agree to these Terms of Service. If you do not agree, do not use the platform. These terms are governed by the laws of the State of California. 2. Account Registration You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials. You may not share your account with others or create accounts on behalf of someone else without authorization. One free account per person or business entity is permitted. Paid plans require a valid credit card on file. Free tier accounts do not require a credit card. 3. Free Account Policy The free tier is intended for genuine evaluation of the platform by real businesses. The following are strictly prohibited and may result in immediate account termination without notice: - Creating multiple free accounts to circumvent stop limits - Automated or bulk account creation - Using free accounts to test security vulnerabilities or probe the platform - Reselling or sublicensing access to free tier features - Any use that places unreasonable load on our infrastructure 4. Acceptable Use You agree not to use MOR to: - Violate any applicable law or regulation - Transmit unsolicited SMS messages to recipients who have not consented - Upload malicious code, viruses, or any content designed to disrupt the platform - Attempt to gain unauthorized access to any part of the platform or other users accounts - Reverse engineer, decompile, or attempt to extract source code from the platform - Use the platform for any purpose other than legitimate delivery route management 5. SMS Notifications and Compliance MOR provides SMS delivery notification services as a transactional messaging platform. Use of this feature is subject to the following requirements and restrictions: Explicit Consent Required. You must obtain explicit, documented consent from each recipient before enabling SMS notifications for that recipient. Consent must be collected prior to sending any SMS message. Acceptable methods of obtaining consent include a checkbox at checkout, a written agreement, or a verbal confirmation that is documented. By enabling SMS notifications for any recipient, you represent and warrant that you have obtained the required consent. TCPA Compliance. You are solely responsible for ensuring your use of MOR's SMS features complies with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and all other applicable federal, state, and local laws and regulations governing electronic communications. MOR provides the delivery mechanism only and does not assume any compliance responsibility on your behalf. Prohibited SMS Uses. You may not use MOR's SMS features to: - Send messages to recipients who have not provided explicit consent - Send marketing, promotional, or advertising messages of any kind - Send messages in violation of carrier quiet hour requirements or applicable regulations - Send messages to numbers on the National Do Not Call Registry where prohibited - Engage in any practice that violates TCPA, carrier guidelines, or applicable law Opt-Out Obligations. Every SMS message sent through MOR automatically includes opt-out instructions. You must immediately honor all opt-out requests. MOR processes opt-out requests automatically and permanently at the platform level. Once a recipient opts out, no further SMS messages may be sent to that recipient unless they explicitly opt back in. You may not attempt to circumvent, override, or re-enroll opted-out recipients without their affirmative re-consent. Message Content. All SMS messages sent through MOR must be transactional in nature, limited to delivery status notifications directly related to an order or delivery the recipient is expecting. Marketing, promotional, or solicitation messages are strictly prohibited. Indemnification for SMS Violations. You agree to indemnify, defend, and hold harmless My Optimized Route and its officers, directors, employees, and agents from any claims, damages, fines, penalties, or expenses, including reasonable legal fees, arising from your violation of this section, any applicable SMS or telecommunications law, or any claim by a recipient that they did not consent to receive messages from you. Suspension for Violations. MOR reserves the right to immediately suspend or terminate your SMS sending privileges, without notice or refund, if we determine or reasonably suspect that you are using the SMS feature in violation of these terms, applicable law, or carrier guidelines. 6. Data and Privacy By using MOR you grant us permission to store and process data you provide, including customer addresses, delivery records, and driver information, solely for the purpose of providing the service. Payment and Billing Paid plans are billed monthly. Your subscription renews automatically unless cancelled. All fees are non-refundable except as required by law. If your payment fails, your account may be downgraded or suspended until payment is resolved. We reserve the right to change pricing with 30 days notice. 8. Free Trial Starter and Pro plans include a 14-day free trial. A valid credit card is required to start your trial. You will not be charged until the trial period ends. Cancelling before the trial ends will not result in a charge. Free tier accounts do not require a credit card. 9. Stop Limits and Plan Enforcement Each plan includes a monthly stop allowance. If you reach your limit, route creation is paused until the next billing cycle or you upgrade. There are no overage charges. Stop counts reset on the 1st of each month. 10. Termination We reserve the right to suspend or terminate your account at any time for violation of these terms, non-payment, or abuse of the platform. You may cancel your account at any time from Settings > Billing. Upon termination, your data is retained according to the retention schedule in Section 22 before permanent deletion. 11. Intellectual Property MOR and all associated software, designs, and content are the property of My Optimized Route. You retain ownership of your data. You may not copy, reproduce, or distribute any part of the platform without written permission. 12. Limitation of Liability MOR is provided "as is" without warranty of any kind. We are not liable for any indirect, incidental, or consequential damages arising from your use of the platform, including but not limited to lost revenue, missed deliveries, or data loss. Our total liability to you shall not exceed the amount you paid us in the 3 months preceding the claim. 13. Indemnification You agree to indemnify and hold MOR harmless from any claims, damages, or expenses arising from your use of the platform, violation of these terms, or violation of any third party rights. 14. Changes to Terms We may update these terms at any time. We will notify you by email and require re-acceptance before continued use of the platform when material changes are made. 15. License Grant My Optimized Route grants you a limited, non-exclusive, non-transferable, revocable license to access and use the platform solely for your internal business operations during your active subscription period. This license is not a sale. You are not purchasing the software -- you are purchasing the right to use it under these terms. All rights not expressly granted are reserved by My Optimized Route. 17. Data Export and Retention on Termination Upon cancellation or termination of your account, you may request an export of your data within 30 days of termination. Supported export formats include CSV for customer records, route history, and delivery reports. After your plan's retention period expires, your data will be permanently deleted from our systems. My Optimized Route is not liable for any data loss resulting from failure to export data within the applicable retention window. To request a data export, contact us before the 30-day period expires. 18. Dispute Resolution Any dispute arising out of or relating to these Terms or your use of the platform shall first be submitted to informal negotiation by contacting us. If the dispute is not resolved within 30 days, it shall be resolved by binding arbitration in the State of California under the rules of the American Arbitration Association. You waive any right to a jury trial. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction in California to protect intellectual property rights. 19. Force Majeure My Optimized Route is not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, acts of government, power outages, internet service disruptions, third-party service failures, or other events outside our control. We will make reasonable efforts to restore service as quickly as possible and will notify affected users of significant outages. 20. Confidentiality You may share confidential business information with us in the course of using the platform, such as customer data, delivery operations, and business details. We will not disclose your confidential information to third parties except as required to provide the service, as required by law, or with your explicit consent. This obligation survives termination of your account. 21. Competitor Access Direct competitors of My Optimized Route are prohibited from accessing the platform, creating accounts, or using the service to analyze, benchmark, or replicate our features without prior written consent. Any account found to be operated by a direct competitor may be terminated immediately. Prepaid subscription fees are non-refundable upon termination for this reason. 22. Data Retention Your route history, delivery records, and associated data are retained according to your subscription plan: - Free: 7 days - Starter: 30 days - Pro: 90 days - Enterprise: 365 days Retention periods begin from the date each route is completed. Data that has exceeded your plan's retention period is permanently deleted and cannot be recovered. Upgrading your plan extends retention going forward but does not restore data that has already been purged. GPS and driver location data is purged after 90 days regardless of plan. If you require longer retention periods, consider upgrading to a higher plan or contact us about Enterprise options.
